Terms of Service

1. Introduction

Welcome to CityGlow Events. These Terms of Service ("Terms") govern your use of our website, located at cityglowevents.ca (the "Service") operated by CityGlow Events ("us", "we", or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service.

2. Communications

By creating an account on our Service or providing us with your email address or phone number, you agree to subscribe to newsletters, marketing or promotional materials, and other information we may send. You may opt out of receiving any, or all, of these communications from us by following the unsubscribe link or by emailing us at [email protected].

3. Event Planning Services

CityGlow Events provides professional event planning services throughout Canada. These services include, but are not limited to, corporate events, private celebrations, weddings, and special occasions.

3.1 Service Agreement

All clients must sign a Service Agreement before CityGlow Events begins work on their event. This agreement will outline specific services, deliverables, timelines, and payment terms that apply to your specific event.

3.2 Deposits and Payments

A non-refundable deposit is required to secure our services and your event date. This deposit amount will be specified in your Service Agreement. The remaining balance is typically due in installments, with the final payment due two weeks prior to your event date, unless otherwise specified in your Service Agreement.

3.3 Cancellations and Postponements

In the event of cancellation by the client, the following terms apply:

• Cancellations made 90+ days before the event: Loss of initial deposit only
• Cancellations made 60-89 days before the event: 50% of the total fee is due
• Cancellations made 30-59 days before the event: 75% of the total fee is due
• Cancellations made less than 30 days before the event: 100% of the total fee is due

Postponements will be handled on a case-by-case basis, and may incur additional fees if the new date requires rescheduling of vendors or additional work.

4. Content on Website

Our Service allows you to view content, information, text, graphics, photos, or other materials uploaded to the Service ("Content"). The Content displayed on or through the Service is protected by copyright, trademark, and other intellectual property laws.

You are granted a limited license only for purposes of viewing the Content on the Service.

5. Prohibited Uses

You may use our Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:

• In any way that violates any applicable national or international law or regulation.
• For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way.
• To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation.
• To impersonate or attempt to impersonate CityGlow Events, a CityGlow Events employee, another user, or any other person or entity.
• In any way that infringes upon the rights of others, or in any way is illegal, threatening, fraudulent, or harmful.

6. Intellectual Property

The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of CityGlow Events and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of CityGlow Events.

Photos and videos from events planned by CityGlow Events may be used in our marketing materials, website, and social media unless specifically prohibited in writing by the client.

7. Limitation Of Liability

In no event shall CityGlow Events, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Service;
• Any conduct or content of any third party on the Service;
• Any content obtained from the Service; and
• Unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.

8. Force Majeure

CityGlow Events shall not be liable for any failure or delay in performance of its obligations under these Terms where such failure or delay is a result of acts of nature, fire, flood, earthquake, explosion, epidemic, pandemic, quarantine restriction, governmental actions, civil commotion, strikes or other labor disputes, war, terrorist attacks, inability to obtain labor, materials or transportation, or any other cause beyond our reasonable control.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

10. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
